Terms and Conditions

In accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011, which require the publishing of rules and regulations, privacy policy, and Terms of Use for accessing websites and mobile applications, this document is herewith published by Seven Procure.

Introduction

These Terms & Conditions govern the use of the Seven Procure website and mobile-based application (collectively, the "Platform").

By using our Platform, you agree to:

• Access and avail services offered by Seven Procure and/or its affiliates.
• Abide by these Terms & Conditions and any other Seven Procure policies, including the Privacy Policy, as updated and posted on the Platform from time to time.

If you do not agree, you may not use our services and should uninstall the Platform.

Seven Procure operates as a platform facilitating transactions between vendors and buyers. It is a marketplace facilitator only and is not a direct party to any agreements between Customers and Vendors.

For these Terms & Conditions:

• "You" refers to any natural or legal person registering as a Vendor, Customer, or User on the Platform.
• "Seven Procure", "Platform", "App", "we", "us", or "our" refers to Seven Procure.

Amendments

Seven Procure reserves the right to modify the Platform, policies, and these Terms & Conditions at any time.

• If any condition is deemed invalid or unenforceable, it will be severable and won't affect the remaining conditions.
• Your continued use of services after any changes are posted constitutes your acceptance of the amended terms.
• These Terms & Conditions are binding for all purchases.

Electronic Communication

When you use the Platform or send us emails, you are communicating with us electronically.

• By communicating with us, you consent to receive electronic communications from us.
• We will communicate via email or notices on our Platform.
• You agree that all electronic communications satisfy any legal requirement for written communication.

Use of Platform and Services

Commercial Terms & Seven Procure's Role

• All commercial/contractual terms for products and services are agreed upon solely between Customers and Vendors. This includes prices, taxes, shipping, payment methods, delivery, warranties, and after-sales services.
• Seven Procure is merely a facilitator or marketplace and does not control, determine, or involve itself in these commercial terms.
• Seven Procure may offer support services to Vendors, such as technology for the Platform, payment gateway integration, and online promotions, based on separate contracts with Vendors.

Customer Service & Vendor Responsibility

• Seven Procure is not responsible for managing customer service. We will provide direct contact details for Vendors on the Platform.
• In emergencies where a Customer cannot reach a Vendor, Seven Procure will offer emergency customer service via email or phone during official working hours to bridge the communication gap.
• You are advised to independently verify the legitimacy of any Vendor and use your best judgment. Seven Procure takes no responsibility for third-party offers.

Disclaimers on Products and Transactions

• Seven Procure makes no representation or warranty regarding the specifics (quality, value) of products or services offered on the Platform, nor does it explicitly or implicitly endorse their sale or purchase.
• Seven Procure accepts no liability for errors or omissions.
• Seven Procure is not responsible for non-performance or breach of contract between Customers and Vendors. We cannot guarantee that transactions will be concluded.
• Seven Procure is not responsible for unsatisfactory service, damages, or delays due to out-of-stock, unavailable, or back-ordered products.
• As an online marketplace facilitator, Seven Procure does not take possession of any products or services. We hold no right, title, or interest over products and have no obligations or liabilities regarding contracts between Customers and Vendors.
• The contract for sale is strictly bipartite between the Customer and the Vendor. The Vendor is solely liable for redressing customer complaints.
• If you raise a complaint about a Vendor, we will assist by providing relevant information (Vendor details, order specifics) to help resolve the complaint.
• Be aware of the risks of dealing with underage persons or those acting under false pretense.

Licenses

Seven Procure grants you a limited, revocable, non-transferable, non-sublicensable, and non-exclusive license to use the Platform upon payment of agreed-upon fees, allowing access for the sale and purchase of goods.

Terms of Use and Restrictions

• You must use the services from Seven Procure only and as per the License Agreement signed by you.
• Software extensions provided through Seven Procure are licensed, not sold.
• Your license is subject to the License Agreement, and Seven Procure retains all rights not expressly granted. You acknowledge that you acquire licenses for third-party extensions from Seven Procure.

License Restrictions

You may not:

• Make copies, translations, or modifications of the Platform.
• Alter, obscure, or remove copyright notices.
• Assign, sell, distribute, lease, rent, sublicense, or transfer the Platform.
• Use the Platform to disrupt associated services or engage in unlawful activity.

Your Responsibilities & Content Usage

• You are responsible for properly configuring and using the Platform, including maintaining security, protection, and backup of your content (e.g., using encryption, routine archiving).
• You grant Seven Procure non-exclusive, worldwide, perpetual, irrevocable, fully paid-up, royalty-free license to exploit suggestions or feedback that result in Platform modifications or improvements.
• You grant Seven Procure a royalty-free, worldwide, transferable, sublicensable, irrevocable, perpetual license to use or incorporate into the Platform any suggestions, enhancement requests, recommendations, or other feedback relating to its operation.

General Terms of Use of the Platform

You agree that you will not engage in any activity that interferes with or disrupts the Platform (or connected servers and networks). You shall not delete or revise any material posted by other Users, nor engage in spamming (unsolicited emailing, posting, or messaging).

Prohibited Content and Activities

You shall not host, display, upload, download, modify, publish, transmit, update, or share any information which:

• Belongs to another person without your right to use it.
• Is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, slanderous, criminally inciting, invasive of privacy, hateful, racially/ethnically objectionable, disparaging, related to money laundering or gambling, or otherwise unlawful (including "indecent representation of women").
• Is misleading or misrepresentative.
• Is patently offensive (e.g., sexually explicit content, promotes obscenity, paedophilia, racism, bigotry, hatred, or physical harm).
• Harasses or advocates harassment.
• Involves "junk mail," "chain letters," or "spamming."
• Promotes illegal activities or abusive, threatening, obscene, defamatory, or libelous conduct.
• Infringes third-party rights (intellectual property, privacy, publicity).
• Promotes illegal copies of copyrighted work (e.g., pirated software/music, circumvention tools).
• Contains restricted or password-only pages, or hidden content.
• Exploits individuals sexually, violently, or inappropriately, or solicits personal information.
• Provides instructions for illegal activities (e.g., making illegal weapons, violating privacy, creating viruses).
• Contains video, photographs, or images of another person (minor or adult) without consent.
• Attempts unauthorized access or exceeds authorized access to the Platform, accounts, or solicits personal information for commercial/unlawful purposes.
• Engages in commercial activities/sales without our prior written consent (contests, sweepstakes, barter, advertising, pyramid schemes). "Prior written consent" means communication from Seven Procure’s Legal Department.
• Solicits or engages in illegal gambling.
• Interferes with other users' enjoyment of the Platform or similar services.
• Refers to URLs containing inappropriate, prohibited, or violating content.
• Harms minors.
• Infringes patents, trademarks, copyrights, trade secrets, publicity/privacy rights, or involves counterfeit/stolen products.
• Violates any law in force.
• Deceives/misleads about message origin or communicates grossly offensive/menacing information.
• Impersonates another person or entity.
• Contains software viruses, harmful computer code (e.g., Trojan horses, worms, time bombs, cancelbots, Easter eggs).
• Threatens India's unity, integrity, defense, security, sovereignty, friendly relations with foreign states, public order, incites criminal offense, prevents investigation, or insults any nation.
• Is false, inaccurate, or misleading.
• Directly/indirectly offers, trades, or attempts to trade prohibited/restricted items under applicable law.
• Creates liability for us or causes loss of services from our internet service provider or suppliers.

Unauthorized Access & Interference

You shall not:

• Use "deep-link," "page-scrape," "robot," "spider," or other automatic devices/programs/algorithms, or similar manual processes, to access, acquire, copy, or monitor any portion of the Platform or its content, or to reproduce/circumvent its navigational structure to obtain information not intentionally made available. We reserve the right to prohibit such activity.
• Attempt unauthorized access to any part or feature of the Platform, connected systems/networks, or services via hacking, "password mining," or other illegitimate means.
• Probe, scan, or test the vulnerability of the Platform or connected networks, nor breach security or authentication measures.
• Reverse look-up, trace, or seek to trace information about other users/visitors, or exploit the Platform to reveal personal identification other than your own.

Conduct & Information Usage

• You shall not make negative, denigrating, or defamatory statements about Seven Procure or its brand/domain name, or engage in conduct that tarnishes our image, reputation, or trade/service marks.
• You agree not to take action that imposes an unreasonable or disproportionately large load on the Platform's infrastructure or our systems.
• You agree not to use any device, software, or routine to interfere with the Platform's proper working or transactions.
• You may not forge headers or manipulate identifiers to disguise message origin, or impersonate others.
• You may not use the Platform for any unlawful or prohibited purpose.
• You must ensure full compliance with the Information Technology Act, 2000, its rules, and all other applicable domestic and international laws, rules, and regulations (including tax laws) regarding your use, listing, purchase, and sale of products/services. You shall not engage in prohibited transactions.
• You grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to use the information you provide, including copyright, publicity, and database rights, in any media. We will use your information in accordance with these Terms & Conditions and the Privacy Policy.
• You are responsible for providing accurate information about products/services you sell and shall not exaggerate attributes to mislead others.
• You shall not advertise or solicit other users to buy/sell products/services unrelated to or without our prior explicit consent. We may restrict message volume to protect users.
• You understand we have the right to disclose information (including user identity) as necessary to satisfy legal, regulatory, or governmental requests, especially for investigating alleged illegal activity or personal injury.
• We may, but are not obligated to, monitor materials posted on the Platform and may remove/edit content that violates laws or these Terms & Conditions.
• YOU REMAIN SOLELY RESPONSIBLE FOR YOUR CONTENT AND PRIVATE MESSAGES. Content posted does not necessarily reflect Seven Procure's views. We are not liable for content or claims/damages from content. You warrant that your content has necessary rights and does not infringe third-party rights or contain unlawful information.
• Your dealings with advertisers on the Platform (payments, delivery, terms) are solely between you and the advertiser. We are not responsible for any loss or damage from such dealings.
• You acknowledge that other users (including unauthorized users/hackers) may post offensive/obscene materials, or obtain your personal information. We do not approve of such uses, but by using the Platform, you agree we are not responsible for the use of information you publicly disclose.
• Seven Procure reserves the right to take necessary action and claim damages for your involvement in DoS/DDoS, hacking, or pen-testing attempts without prior consent.
• Our failure to enforce any right or act on a breach does not waive that right or our right to act on subsequent breaches.
• Seven Procure may assign these Terms & Conditions (including all rights/obligations) to any person or entity. You may not assign them.
• These Terms & Conditions are governed by the laws of India. Parties agree to the exclusive jurisdiction of courts in New Delhi, India.

Financial Terms

• All payments for the use and license of the Platform must be received by us prior to using the Platform for selling or purchasing goods.
• We accept payments via net-banking, credit card, debit card, cash card, and mobile payments.
• The Platform facilitates placing and receiving orders, subject to these Terms & Conditions. Seven Procure does not represent either the Customer or the Vendor in specific transactions.
• Seven Procure does not own, sell, resell, or control the Vendor or their services. All orders are subject to terms including product availability.
• Seven Procure is not liable for the quality, safety, lawfulness, or availability of products/services, or the ability of Vendors/Customers to complete transactions.
• The final tax bill and/or invoice will be issued by the Vendor to the Customer. Seven Procure's role is solely that of a facilitator.
• All applicable taxes and levies are charged and determined by the Vendor. Seven Procure holds no responsibility for the legal correctness/validity of such taxes. The Vendor is solely responsible for any legal issues regarding taxes.
• Prices on the Platform are determined solely by the Vendor. Prices may change due to Vendors altering listed prices without intimation, and such changes are at the Vendor's sole discretion due to various uncontrollable factors.
• Disclaimer: Prices on the Platform may be incorrectly reflected due to technical issues, typographical errors, or Vendor-supplied information. In such events, the Vendor may cancel your order(s).
• The Vendor is solely responsible for any warranty/guarantee of products sold to Customers. Seven Procure bears no responsibility.
• The transaction is bilateral between the Vendor and Customer; thus, Seven Procure is not liable to charge or deposit any taxes applicable on such transactions.

No Endorsement

• We do not endorse any Vendor.
• Although these Terms & Conditions require accurate information, we do not attempt to confirm, nor do we confirm, purported identities.
• We will not be responsible for any damage or harm resulting from your interactions with other Users.
• By using the Platform, you agree that any legal remedy or liability for actions/omissions of other Users or third parties will be limited to a claim against that specific User or third party. You agree not to seek liability or legal remedy from us for such actions.

Limitation of Liability

• Notwithstanding anything to the contrary, Seven Procure shall not be liable to any party for lost profits or revenues, or for any indirect, special, incidental, consequential, cover, or punitive damages, however caused, whether in contract, tort, or under any other theory of liability, and whether or not advised of the possibility of such damages. This disclaimer applies to the fullest extent permitted by law.
• Seven Procure's total liability for any direct, indirect, incidental, punitive, or consequential damages arising from any signed agreement shall be limited as set out in that agreement.
• In no event will Seven Procure, its directors, officers, employees, agents, or representatives be liable for any direct, indirect, special, incidental, consequential, or punitive damages, or any other damages of any kind, arising out of or related to Seven Procure.
• Our total liability, whether in contract, warranty, tort (including negligence) or otherwise, will not exceed the last membership or license fee you paid.
• These exclusions and limitations of liability apply to the fullest extent permitted by law and will survive cancellation or termination of your license to access the Platform.
• Seven Procure is not responsible for delays or incorrect data collection due to hacking, viruses, Trojans, or other Force Majeure events (acts of God/Nature, etc.) beyond our direct control, affecting user account details or information on the Platform.

Intellectual Property

We are either the owner of intellectual property rights or have the non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to exercise the intellectual property in the Platform and its published material.

You may:

• Print one copy and download extracts of pages for personal reference.
• Draw attention of others within your organization to material on the Platform.

You must not:

• Modify paper or digital copies of downloaded/printed materials.
• Use illustrations, photographs, video/audio sequences, or graphics separately from accompanying text.
• Use any part of the materials on the Platform for commercial purposes without obtaining a license from us or our licensors.

If you breach these Terms & Conditions by printing, copying, or downloading any part of the Platform, your right to use it will cease immediately, and you must, at our option, return or destroy any copies made.

Force Majeure

Seven Procure is not liable or responsible for failure or delay in performing these Terms & Conditions or individual contracts if such failure or delay is due to reasons beyond reasonable control.

These reasons include, but are not limited to, Force Majeure events such as:

• Acts of God.
• Acts of public enemy.
• War (declared or not).
• Rebellion.
• Internet hacking.
• Internet outage.
• Telecom service provider issues.
• Power outage.
• Server issues.
• Riots.

Third Party Links

The Platform may contain links to other independent third-party websites ("Linked Sites").

• These Linked Sites are provided solely for your convenience.
• Such Linked Sites are not under Seven Procure’s control.
• Seven Procure is not responsible for, and does not endorse, the content of Linked Sites, including any information or materials contained therein.
• You must exercise your own independent judgment regarding interactions with Linked Sites.

Indemnity

You release and fully indemnify Seven Procure and/or its officers and representatives from any cost, damage, liability, or other consequences arising from the actions of other Users on the Platform. You specifically waive any claims you may have under applicable Indian laws in this regard.

• Despite reasonable efforts, Seven Procure cannot control the information provided by other Users on the Platform.
• You may encounter offensive, harmful, inconsistent, inaccurate, or deceptive information from other Users.
• Please exercise caution and practice safe trading when using the Platform.

All legal notices or demands to or upon Seven Procure must be made in writing and sent personally, by courier, certified mail, or facsimile to:

Notices are effective upon receipt by Seven Procure through any of the aforementioned methods.
